For printer friendly version click HERE CONFIDENTIALITY AND NON-CIRCUMVENTION AGREEMENT This Agreement, between Chartwell Capital, LLC and Chartwell Capital Group, LLC, both with an address at 95 West Main Street, Suite 5-298, Chester, NJ 07930 (hereinafter referred to as “Chartwell” or “Party”) and ___________________ with an address at__________________________________ (hereinafter referred to as “Member" or “Party”) is made this ___day of _________, 2009. WITNESSETH Whereas, the Parties are in the process of exchanging information and investigating a possible real estate investment; and Whereas, to further the business relationship and possible undertaking, the Parties will supply each other with confidential and/or proprietary personal and/or business information (hereinafter referred to as the “Information”); and, Whereas, the Parties do not want such information disclosed to third parties; and Whereas, the Parties may enter into a business venture that includes others (hereinafter referred to as "Other Members") who also wish to keep their personal information confidential. NOW THEREFORE: The Parties to this Agreement agree as follows: 1. Covenant Not to Disclose. With respect to the other Party’s Information and with respect to any Other Member’s Information, each Party hereby agrees that it shall not use, commercialize, or disclose said Information to any person, entity or affiliate except to its own employees or professional advisors having a “need to know”. 2. Maintenance of Confidentiality. Each Party shall take reasonable measures to protect the secrecy of and avoid disclosure and unauthorized use of the other’s Information. 3. Non-Circumvention.
